A Comissão de Valores Mobiliários (CVM) deverá abrir um inquérito para reavaliar se houve abuso de poder por parte dos accionistas que deram aval à fusão entre a antiga PT SGPS e a brasileira Oi. A notícia é avançada pelo jornal Valor Económico.
O regulador brasileiro do mercado de capitais (CVM) deve reavaliar o negócio de fusão entre Oi e PT SGPS, hoje Pharol. De acordo com a publicação brasileira Valor Económico, essa foi a recomendação da Superintendência de Relações com Empresas (SEP), um organimo que coordena, supervisiona e fiscaliza empresas cotadas em bolsa mas que não tem poder de decisão sobre a abertura de processos de averiguação.

A SEP esteve a analisar a operação entre as duas empresas desde o anúncio, em Outubro de 2013, até meados de 2015, quando houve a conversão de acções preferenciais em ordinárias e a migração da Oi para o Novo Mercado. Entretanto, a operação de junção sofreu um revés, em Julho de 2014. Em causa, o facto da PT ter investido 897 milhões de euros em papel comercial da Rioforte, empresa do Grupo Espírito Santo (GES) que acabou por entrar em incumprimento e não reembolsou as aplicações feitas pela operadora portuguesa.

Uma circunstância que levou os accionistas controladores da Oi a exigirem a revisão do acordo a seu favor.

Na ánalise, a SEP aponta indícios de que tantos os accionistas controladores da Oi - Andrade Gutierrez e Grupo Jereissati - como o então presidente, Zeinal Bava, saberiam da aplicação da Rioforte. Suspeitas que a entidade acredita necessitarem de uma investigação minuciosa da CVM. "Merecem especial nota os indícios de possíveis negociações, entre os accionistas controladores brasileiros e o grupo BES/GES, que condicionariam a aprovação da operação a aplicações em papéis da Rioforte", refere o documento citado pelo Valor Económico.

Outro episódio que a SEP considera que merece ser avaliado é a "resolução do imbróglio de venda de parte do IG à Ongoing". A Ongoing, de Nuno Vasconcellos, que após ter participado no núcleo duro de oposição à Oferta Pública Aquisição (OPA) lançada sobre a PT pela Sonaecom - a 6 de Fevereiro de 2006 - acabou por se transformar num dos maiores accionistas privados da operadora portuguesa (o segundo a seguir ao Banco Espírito Santo) com peso nas decisões do conselho. Por sua vez, o portal IG era na altura controlado por accionistas da Oi. Segundo a SEP, as partes, que chegaram a divergir sobre valores e garantias da bancárias no âmbito do negócio, acabaram por chegar a acordo. Um acordo que surgiu em Março de 2014 "na mesma época da realização da oferta de acções da Oi e das aplicações na Rioforte", cita o Valor Económico.

A SEP pede agora uma análise mais aprofundada para determinar "se existiu relação entre transacções do IG e os factos ocorridos no âmbito da reestruturação societária da Oi".

O inquérito deverá também investigar se a Previ, fundo de pensões dos funcionários do Banco do Brasil, que integrava o bloco de controlo da Oi, vendeu acções na posse de informação privilegiada em período de restrição à negociação de papéis. Segundo o Valor Económico a Previ afirma que jamais usou informação privilegiada ou tomou conhecimento da aplicação na Rioforte, sem ser através da imprensa.

Em Portugal, os investimentos da PT no GES também já levaram a acções judiciais avançadas pela Pharol, antiga PT SGPS, contra ex-gestores e ex-administradores da operadora portuguesa, como Zeinal Bava, Henrique Granadeiro, Luís Pacheco de Melo e Amílcar Morais Pires.

Banco Efisa, diz-lhe alguma coisa? Era o antigo banco de investimentos do BPN e que está parado desde 2009. Está longe de ser um banco relevante no sistema, mas tem uma mais-valia: uma licença bancária para operar em Portugal, Moçambique, Angola e na América Latina, que foi mantida à custa da injeção de dinheiros públicos, cerca de 52 milhões desde 2014.Em julho de 2015, já depois de ter vendido o BPN, o Estado decide vender também o Banco Efisa, que até aí se encontrava dentro da Parvalorem, o veículo criado para gerir os restos do BPN. O Efisa é assim entregue à Pivot por 38 milhões de euros.Na altura pouco se sabia da Pivot, a não ser que congregava investidores angolanos, norte-americanos e portugueses. Ficámos, no entanto, na semana passada, a conhecer um pouco mais desta história.Miguel Relvas, diz-lhe alguma coisa? Foi secretário de Estado da Administração Local em 2004, altura em que ajudou a Tecnoforma - em que esteve Passos Coelho como administrador - a montar a fraude dos aeródromos. Mais tarde tornou-se número dois do primeiro-ministro Passos, e ministro dos Assuntos Parlamentares até abril de 2013.Miguel Relvas já tinha sido consultor do banco de investimento do BPN antes da nacionalização. Na altura, o deputado e administrador da Kapaconsult (que tinha como único cliente o Efisa) era crucial para abrir as portas da política e dos negócios no Brasil .Em 2012, foi o seu Governo a nomear Francisco Nogueira Leite, ex-administrador da Tecnoforma com Passos Coelho, para presidente da Parvalorem. Para além de chamar outros quadros próximos da Tecnoforma, Nogueira Leite manteve homens da confiança de Oliveira e Costa em lugares críticos da empresa. E foi ele, enquanto responsável máximo da Parvalorem, a conduzir a venda do Efisa à Pivot em 2015.Já fora do Governo, é Miguel Relvas quem aparece, mais uma vez, a prestar serviços de consultoria à Pivot. Mas na semana passada o consultor Relvas foi promovido a acionista, e pede agora ao Banco de Portugal que ateste a sua idoneidade para ser dono de um banco, o Efisa.Miguel Relvas e idoneidade, uma contradição nos termos capaz de arrancar uma boa gargalhada a qualquer um se não corresse o risco de vir mesmo a ser declarada.DEPUTADA DO BE

A white Zimbabwean farmer has been handcuffed and forcibly removed from his farm after police stormed the property to enforce a claim made by a British doctor.
Phillip Rankin was first ordered off his tobacco farm in September last year following a claim for land made by Dr Sylvester Nyatsuro, who was born in Zimbabwe but now has British citizenship.
At dawn last Friday police dug their way under the fence around the Rankin’s homestead, banged on the side door and told Mr Rankin that they would force their way in if he did not open the door.
Eventually, Mr Rankin said he let the police in who proceeded to take all his furniture outside the house and loaded it on to trucks, then drove away.

Mr Rankin said he prepared to leave the house and police dragged him from his vehicle, handcuffed him and drove him to a police station nearly 90 miles from the farm.
Mr Rankin, who was later released and is now staying with relatives on a nearby farm told the Telegraph he was “terribly shocked”. His lawyer said the police had no arrest warrant and told her “leave us” when the officers were informed their actions were unlawful.
Barry Rankin, 32, the older of the three Rankin children who worked on the farm said on Sunday: “I think we have finally accepted that we are not going back to the farm. I have also cleared out our house on the farm to avoid our things being broken up as happened when the police took my parents furniture and their piano.”
He took the precaution of moving his wife and three young children to Harare late last year.
"We have now consulted with our pastor and we know it is over,” he said. “I don’t know what will happen to the tobacco crop as we are not allowed to be here and work.”
He said his parents were staying with relatives in the area. “We are all finished,” he said.
The Rankin's lawyer Nyarodzoh Maposa said: “All of this is lawless. It’s disgraceful, there’s no charge against him.”

An arrest warrant was issued for Mr Rankin, 57, in January when he failed to vacate the property as per the land claim, but was later suspended.
Dr Nyatsuro, a 45-year-old GP who runs a slimming clinic in Nottingham, arrived at the tobacco farm, Kingston Deverill, in September with a letter from the government allocating the land to him.
Political sources in Harare suggested the doctor - whom Mr Rankin said was accompanied by his wife, Veronica and government officials, had family connections to Grace Mugabe, the president’s wife.
Two weeks after Dr Nyatsuro departed, around 20 settlers moved into a vacant cottage on the farm in Centenary district, 145 miles north of Harare.

When the Telegraph visited the property earlier this month, the settlers were living in the cottage on the estate and one of them was using a car registered to Dr Nyatsuro according to documents at the vehicle registry office in Harare.
Mr and Mrs Rankin said they were facing mounting legal bills to defend themselves against a prosecution by the state for allegedly “trespassing” on the land they had farmed for over 30 years.
Earlier this month the Rankins said they could not “take the pressure any more”, but did not want to leave before harvesting a £300,000 tobacco crop they obtained a loan to plant.
“I would leave this farm, walk away, if the British pay me compensation for my farm and all the things on it," said Mr Rankin.
The couple, who used to own 2,000 acres which has gradually been whittled away, also employ 40 permanent workers who live with their families on the farm and at least 20 “casuals” during peak season.

About 20 white farmers and their workers were killed and many more assaulted during the land invasions that started in 2000 and saw around 90 per cent of white-owned farms seized, helping to bring the country’s economy close to collapse. In February last year, there were warnings that Zimbabwe's approximately 300 remaining white farmers were under renewed threat from a rash of new land claims.
Peter Steyl, the president of the Commercial Farmers’ Union, said that Mr Rankin had been doing “the best he could under difficult circumstances”.
“Zimbabwe is in deep trouble and no one is taking responsibility,” he said.
A Foreign Office spokesman voiced concern that the seizure of the farm "did not follow the process as described by the constitution".
"We are aware of the allegation that the beneficiary of this farm may be a British citizen," added the spokesman. "We will consider what further action to take."
Lawyers for Dr Nyatsuro said he is a mere third party in the dispute which is between Mr Rankin and the state.
They deny Dr Nyatsuro’s applied for specific ownership of Mr Rankin’s farm and say it was allocated to him because it was state land and it was up to Mr Rankin to prove otherwise. They also said that the police intervention was not at the behest of Mr Nyatsuro and he has not been awarded possession of the farm following police action.
In a statement to the Nottingham Post, a lawyer acting for the couple said they were awarded the farm “in full accordance with the requirements of the Government’s Minister of Land and Rural Settlement”.
The statement denied that Dr Nyatsuro was among those who went to take possession of the farm.
